Terms of Service

These Terms of Service ("Terms") govern your use of the Tomobi platform ("Platform"), provided by Tomobi Inc.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, do not use the Platform.

1. Eligibility

You may use the Platform only if:

• You are at least 18 years old.
• You have the legal authority to enter into these Terms on behalf of yourself or your organization.
• You are not prohibited from using the Platform under applicable law.

2. Account Registration

To access certain features, you must create an account:

• You must provide accurate and complete information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are fully responsible for all activity under your account.

3. Subscription and Payment

Tomobi operates on a subscription-based Software-as-a-Service (SaaS) model.

Plans:

• Basic Plan: $249/month
• Professional Plan: $699/month
• Enterprise Plan: Custom pricing available

Payment Terms:

• Subscriptions are billed monthly in advance.
• Fees are non-refundable, including for partial months.
• We reserve the right to change pricing with reasonable prior notice.

4. Acceptable Use Policy

You agree not to:

• Use the Platform for unlawful, harmful, or fraudulent purposes.
• Copy, modify, reverse engineer, or distribute any part of the Platform.
• Interfere with the integrity or performance of the Platform.
• Upload viruses or malicious code, or attempt to gain unauthorized access to any part of the Platform or its systems.

5. Intellectual Property

All content, trademarks, software, and services on the Platform are the exclusive property of Tomobi Inc. You may not use any of these materials without prior written permission, except as allowed by the Platform's intended functionality.

6. User Content

You retain ownership of any content you submit, such as:

• Talent profiles,
• Casting project data,
• Uploaded files or descriptions.

By submitting content, you grant Tomobi a limited license to store, process, and use it solely to provide the services. You are responsible for ensuring you have the rights to any content you upload.

7. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy. Tomobi complies with:

• Japan's Act on the Protection of Personal Information (APPI) and the General Data Protection Regulation (GDPR) for applicable users.

8. Service Availability and Termination

We strive to maintain high availability but cannot guarantee uninterrupted access. Tomobi may suspend or terminate your access if:

• You violate these Terms.
• Payment is overdue and unresolved.
• We discontinue the Platform (with notice provided in advance).

You may cancel your subscription at any time via your account settings.

9. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind. Tomobi does not guarantee:

• Casting outcomes,
• Accuracy or completeness of AI match results,
• Platform error-free operation or uninterrupted service.

10. Limitation of Liability

To the maximum extent permitted by law:

• Tomobi shall not be liable for indirect, incidental, or consequential damages.
• Tomobi's total liability shall not exceed the amount paid by you in the past three months.

11. Indemnification

You agree to indemnify and hold harmless Tomobi, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

• Your use of the Platform,
• Your breach of these Terms,
• Your violation of any third-party rights.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any disputes shall be resolved exclusively by the Tokyo District Court.

13. Changes to These Terms

Tomobi may modify these Terms at any time. If changes are material, we will provide advance notice via email or in-app notification. Continued use of the Platform after changes become effective constitutes your acceptance.
